Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KiwiClaw website, platform, and services (collectively, the "Service") provided by KiwiClaw ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

KiwiClaw is a managed hosting platform for the open-source OpenClaw AI agent framework. We provide:

  • Hosted OpenClaw agent instances on dedicated virtual machines
  • Managed LLM access (Standard and Enterprise plans)
  • A dashboard for agent configuration, monitoring, and management
  • Channel integrations (Slack, Discord, Telegram, WhatsApp, Microsoft Teams)
  • A vetted skills marketplace
  • Usage tracking and billing

We run stock OpenClaw Docker images without code modifications. Agent capabilities are determined by the upstream OpenClaw project.

2. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 16 years old to create an account. If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscription Plans and Billing

Plans

We offer three subscription tiers:

  • BYOK ($15/month): Managed hosting with your own API keys
  • Standard ($39/month): Managed hosting with managed LLM access included
  • Enterprise (custom pricing): Team features, compliance, custom configuration

Free Trial

New accounts include a 7-day free trial. No credit card is required to start the trial. At the end of the trial, you must select a paid plan to continue using the Service.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. You authorize us to charge your payment method for recurring subscription fees. Prices are in US dollars and do not include applicable taxes.

Credit Packs

Standard plan users who reach their usage caps may purchase credit packs. Credits are non-refundable and do not expire.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • No refunds are issued for partial billing periods
  • Your agent will be stopped at the end of the billing period
  • Your data will be retained for 30 days after cancellation, then permanently deleted

Price Changes

We may change our subscription prices. We will provide at least 30 days' notice of price changes via email. Price changes take effect at the start of your next billing cycle after the notice period.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Generate, store, or transmit spam, malware, or malicious content
  • Conduct unauthorized access to computer systems or networks
  • Harass, threaten, or harm any person
  • Generate content that exploits or harms minors
  • Engage in cryptocurrency mining or other resource-intensive activities unrelated to agent operation
  • Circumvent usage caps or billing controls
  • Resell or redistribute the Service without our written consent
  • Reverse engineer, decompile, or disassemble the Service (excluding the open-source OpenClaw components under their respective licenses)
  • Use the Service to develop a competing product

We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without notice.

5. Your Content and Data

You retain ownership of all content you create, upload, or transmit through the Service ("Your Content"), including conversation history, agent configurations, and data processed by your agent.

You grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing the Service. We do not use Your Content to train AI models or for any purpose other than operating the Service for your benefit.

You are responsible for ensuring that Your Content does not violate any laws or third-party rights.

6. Intellectual Property

The Service (excluding open-source components) is owned by KiwiClaw and protected by intellectual property laws. This includes our dashboard, orchestration layer, LLM proxy, and proprietary systems.

OpenClaw is open-source software licensed under the MIT License. Your use of OpenClaw agent functionality is governed by its license terms. KiwiClaw does not claim ownership of OpenClaw or its code.

7. Third-Party Services

The Service integrates with third-party services including:

  • LLM providers: Moonshot (Kimi K2.5), Anthropic (Claude)
  • Channel integrations: Slack, Discord, Telegram, WhatsApp, Microsoft Teams
  • Authentication: Clerk
  • Payments: Stripe

Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, accuracy, or actions of third-party services.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, upgrades, or security reasons. We will provide reasonable advance notice of planned maintenance when possible.

We are not liable for service interruptions caused by factors outside our reasonable control, including infrastructure provider outages, LLM provider outages, internet connectivity issues, or force majeure events.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIWICLAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, secure, or error-free; (c) the results obtained from the Service will be accurate or reliable; or (d) AI agent outputs will be correct, appropriate, or free from bias.

11. Indemnification

You agree to indemnify, defend, and hold harmless KiwiClaw and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data after a 30-day retention period
  • Provisions that by their nature should survive termination will survive (including liability limitations, indemnification, and governing law)

You may terminate your account at any time by canceling your subscription and requesting account deletion.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association, conducted in Houston, Texas. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for matters involving intellectual property infringement or unauthorized access to the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and KiwiClaw regarding the Service
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction
  • Force Majeure: Neither party shall be liable for delays or failures caused by events beyond their reasonable control
